General Terms of Sale
These General Terms of Sale govern the sale of products and services by OpenEduCat, Inc., and its affiliates (hereinafter referred to as "OpenEduCat") to the client. Additional terms may apply for services provided by OpenEduCat (for example, the Enterprise Subscription Agreement). In the event of any inconsistency between these additional terms and the General Terms of Sale, the additional terms shall prevail.
Please carefully review these terms before placing an order with OpenEduCat. By accepting an order with OpenEduCat, the client indicates acceptance of these terms.
The client explicitly waives its own standard terms and conditions, even if such terms were created subsequent to these standard terms and conditions of sale. Any deviation from these terms must be expressly agreed upon in advance in writing to be valid.
Invoices are due and payable within 21 working days, unless otherwise specified on the invoice or the order. Failure to make payment by the due date may result in OpenEduCat requesting a fixed interest payment equal to 15% of the outstanding balance. OpenEduCat reserves the right to suspend services without prior notice in the event of late payment.
Should a payment remain outstanding for more than sixty (60) days after the due date, OpenEduCat reserves the right to engage the services of a debt recovery company, with all associated legal expenses payable by the client.
Certain countries may impose withholding taxes on invoice amounts per their internal legislation. Any such withholding taxes shall be paid by the client to the relevant tax authorities. OpenEduCat cannot be held responsible for any costs related to a country's legislation. The invoice amount is therefore payable to OpenEduCat in full and does not include any costs associated with the client's country legislation.
For clients with a global presence, pricing is determined based on the client's location with the highest price list, unless otherwise specified in writing at the time of purchase.
OpenEduCat endeavors to provide services in a timely manner according to agreed-upon timeframes. However, none of its obligations constitute an obligation to achieve specific results. OpenEduCat cannot, under any circumstances, be compelled by the client to intervene as a third party in any claims for damages brought against the client by an end consumer.
Any claims must be notified to OpenEduCat by registered letter sent to its registered office within 8 days of delivery of goods or provision of services for them to be admissible.
To the maximum extent permitted by law, the total aggregate liability of each party and its affiliates arising from these terms shall not exceed 50% of the total amount paid by the Customer under these terms during the 12 months immediately preceding the date of the event giving rise to the claim. This limitation shall not be enlarged by multiple claims.
Given the digital nature of the products and services provided, all sales are final, and OpenEduCat does not offer refunds or accept returns. Once a digital product or service has been purchased, the customer acknowledges and agrees that no refund or return is available.
OpenEduCat reserves the right to amend these terms at any time without prior notice. The client shall be subject to the terms in force at the time of acceptance.
Furthermore, all contractual relations shall be governed exclusively by the laws of Delaware, USA. Any disputes shall be subject exclusively to the jurisdiction of the courts of the Delaware, USA.
