Enterprise License
1. License Grant
Subject to the terms of this agreement and payment of applicable fees, OpenEduCat grants you a non-exclusive, non-transferable license to use the Enterprise Edition software for your internal business purposes. The license includes access to enterprise features, modules, and support as specified in your subscription.
2. License Restrictions
You may not: sublicense, sell, or transfer the software to third parties; use the software to provide services to third parties (unless under OEM agreement); reverse engineer, decompile, or disassemble the software; remove or modify any proprietary notices; or exceed the licensed user count or usage limits.
3. Subscription Terms
Enterprise licenses are sold as annual subscriptions. Subscriptions include software updates, new feature releases, and technical support during the subscription period. Subscriptions automatically renew unless cancelled 30 days before renewal date. Price changes may apply upon renewal with 60 days notice.
4. Support and Maintenance
Enterprise subscriptions include: access to software updates and upgrades, technical support via email and ticket system, bug fixes and security patches, and access to enterprise documentation. Support response times and availability depend on your support tier.
5. Confidentiality
Both parties agree to maintain confidentiality of proprietary information received from the other party. This includes software source code, business information, and customer data. Confidentiality obligations survive termination of the agreement.
6. Audit Rights
We reserve the right to audit your use of the software to verify compliance with license terms. Audits will be conducted with reasonable notice and during normal business hours. If an audit reveals underpayment, you agree to pay the difference plus audit costs if underpayment exceeds 5%.
