General Terms of Sale
1. Scope of Agreement
These General Terms of Sale govern all sales of products and services by OpenEduCat, Inc. and its affiliates to clients. Additional agreements may apply and take precedence if conflicting. By placing an order, clients accept these terms and waive their own standard terms, even if created after these terms. Any deviations require advance written agreement.
2. Payment Terms
Invoices are due within 21 working days of issue unless specified otherwise in a separate agreement. Late payment incurs a fixed interest payment equal to 15% of the outstanding balance. Services may be suspended without notice for non-payment. Unpaid amounts outstanding for more than 60 days may be referred to debt collection at the client's expense.
3. Withholding Taxes
Clients remain responsible for any withholding taxes imposed by their country. Full invoice amounts are due to OpenEduCat regardless of local tax obligations.
4. Global Pricing
For clients operating across multiple locations, pricing reflects the highest applicable price list unless otherwise agreed in writing.
5. Service Obligations
OpenEduCat provides services on agreed timeframes but makes no guarantee of specific results. Professional services delivery timelines are specified in the service agreement. Training sessions are scheduled as agreed.
6. Claims Process
Any claims must be notified to OpenEduCat by registered letter sent to its registered office within 8 days of delivery of goods or provision of services for them to be admissible.
7. Limitation of Liability
Aggregate liability is capped at 50% of amounts paid by the client in the preceding 12 months. OpenEduCat is not liable for indirect, incidental, special, or consequential damages. These limitations apply regardless of the form of action.
8. No Refund Policy
All sales are final. OpenEduCat does not offer refunds, returns, exchanges, credits, prorations, or reimbursements for any product, licence, subscription, service, or engagement, in whole or in part, for any reason, at any time, in any jurisdiction.
By placing an order, accepting a quotation, raising a purchase order, signing an order form or statement of work, making any payment (in whole or in part) against a sale order, quotation, invoice, proforma invoice, or payment link, or by accessing or using any OpenEduCat product or service, Customer expressly accepts the No Refund Policy posted at https://openeducat.org/return-and-refund-policy, which is incorporated into these General Terms of Sale by reference and prevails in the event of any conflict.
Initiating a chargeback, payment reversal, or dispute with a card issuer, bank, or payment processor without first obtaining a written resolution from OpenEduCat is a material breach. Customer is liable for OpenEduCat's full chargeback-related costs, including a liquidated-damages charge of USD 500 per chargeback or twenty percent (20%) of the disputed amount (whichever is greater), and OpenEduCat may immediately suspend or terminate Customer's access to all products and services.
9. Governing Law
These terms are governed by the laws of the State of Delaware, USA. Any disputes arising from these terms fall under the exclusive jurisdiction of Delaware courts.
